• Client-entered payment amounts are considered intentional and approved
   
• Deposits, retainers, milestone payments, and training fees are non-refundable, unless explicitly stated in writing
   
• Failure to pay may result in service suspension or termination
   

Payment processing is handled through secure third-party payment processors. Kay.John Inc. does not store full payment credentials.

Unless otherwise stated in a signed agreement:

• No refunds for services already rendered
   
• No refunds for training, certifications, memberships, or digital products once access is granted
   
• Missed sessions or unused access do not qualify for refunds
   

Rescheduling is subject to availability and Company discretion.

All content, materials, frameworks, configurations, workflows, and training resources provided by Kay.John Inc. remain our intellectual property, unless otherwise agreed in writing.

Clients may not:

• Reproduce, distribute, resell, or sublicense materials
   
• Share access with unauthorized third parties

Permitted use is limited to the Client’s internal business or personal educational purposes.

We:

• Do not control third-party platforms
   
• Do not guarantee their availability, performance, pricing, or security

Clients are responsible for reviewing and complying with third-party terms and privacy policies.

To the fullest extent permitted by law, Kay.John Inc. shall not be liable for:

• Indirect, incidental, consequential, or punitive damages

• Damages resulting from Client implementation or reliance
   

Any liability, if found, shall be limited to the fees paid to Kay.John Inc. during the 90 days preceding the claim.

Client agrees to indemnify and hold harmless Kay.John Inc., its officers, employees, contractors, and partners from claims arising from:

• Client misuse of services or materials
   
• Violation of laws or third-party rights
   
• Client-provided content or instructions
   

Kay.John Inc. may suspend or terminate services if:

• Payments are not made
   
• These Terms are violated
   
• Unlawful, abusive, or unethical conduct occurs
   

Termination does not eliminate outstanding payment obligations.

These Terms are governed by the laws of the State of North Carolina. Any disputes shall be resolved exclusively in courts located within North Carolina.

Kay.John Inc. may update these Terms periodically. Continued use of services constitutes acceptance of revised Terms.

By accessing services, submitting payment, or engaging Kay.John Inc., you acknowledge that you:
